End-User License Agreement for ARVIS Financial Connector
Effective September 2, 2026
This End-User License Agreement (“Agreement”) governs use of ARVIS Financial Connector by individuals expressly authorized by ARS, Inc., an Oregon corporation (“ARS”).
Acceptance
Before first production use, each authorized user must affirmatively accept this Agreement through the application’s acceptance control. ARS may require renewed acceptance after a material change. The application may record the accepted agreement version, timestamp, and authenticated user identifier as security and compliance metadata. OAuth authorization alone does not constitute acceptance of this Agreement or consent to unrelated processing.
If you do not accept this Agreement, do not use the connector.
Internal-use license
Subject to this Agreement and applicable ARS policies, ARS grants an authorized user a limited, revocable, non-exclusive, non-transferable license to use the connector solely for approved internal accounting, reconciliation, accounts-receivable, project-cost, profitability, margin, and management-reporting purposes. No ownership interest is transferred.
Authorized QuickBooks company
You may connect only a QuickBooks Online company that you are authorized to administer for ARS. You must verify the selected company and immediately report any suspected incorrect-company connection.
Read-only accounting boundary
The connector retrieves approved QuickBooks accounting information through GET and query operations. It does not process payments or provide functions to create, update, void, or delete QuickBooks accounting records. OAuth authorization, token refresh, and revocation are separate access-control operations.
QuickBooks and ARVIS AI
No QuickBooks-related AI feature is authorized. No QuickBooks information is sent to an AI model or provider.
Any future separately approved ARVIS output would support internal analysis only. It could be incomplete or incorrect, would not replace QuickBooks source records or required accounting controls, and would require authorized human review before reliance or action. No autonomous accounting action is authorized.
User restrictions
You must not:
- connect an unauthorized company or share access with an unauthorized person;
- bypass identity protection, authorization controls, read-only restrictions, or AI restrictions;
- expose credentials, tokens, authorization codes, QuickBooks exports, or confidential information;
- submit QuickBooks data to unapproved AI, email, CRM, automation, analytics, or advertising services;
- copy, modify, reverse engineer, distribute, sublicense, sell, or commercially exploit the connector except where a restriction is prohibited by applicable law;
- interfere with the connector, Intuit services, or another user’s access;
- rely on connector or future ARVIS output without required human review; or
- use the connector unlawfully or outside approved ARS purposes.
Confidentiality and security
You must follow ARS confidentiality, information-security, records, acceptable-use, and incident-reporting requirements. Suspected unauthorized access, incorrect-company connection, credential exposure, or data disclosure must be reported through support@restoringvancouver.com without including credentials or QuickBooks exports in the message.
Intuit services
QuickBooks Online and related Intuit services are provided under separate Intuit terms. Their availability, operation, and source data are outside ARS’s direct control. Intuit and QuickBooks are trademarks of Intuit Inc. ARS does not claim endorsement by Intuit.
Human review and professional advice
The connector and any future separately approved ARVIS output support internal analysis. They do not replace QuickBooks source records, human review, accounting controls, or advice from qualified accounting, tax, legal, or other professionals. Users remain responsible for verifying information before relying on it or taking action.
Availability and warranties
To the maximum extent permitted by law, the connector is provided “as is” and “as available.” ARS does not guarantee uninterrupted availability, error-free operation, continuous Intuit availability, or that every result will be complete or suitable for a particular purpose. To the maximum extent permitted by law, ARS disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Nothing in this Agreement excludes a warranty, obligation, remedy, or statutory right that cannot lawfully be excluded or limited.
Limitation of liability
To the maximum extent permitted by law, ARS will not be liable under this Agreement for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, business opportunity, goodwill, or data, arising from or relating to use or inability to use the connector, even if advised that such damage is possible.
This Agreement does not create a monetary cap on direct damages and does not limit liability or rights that cannot lawfully be limited. It does not reduce rights or obligations under an applicable signed employment, contractor, confidentiality, or other agreement.
Indemnity and other signed agreements
This Agreement does not create a new stand-alone indemnity obligation for an employee. Any indemnity, defense, or settlement obligation applicable to a contractor remains governed by the contractor’s signed agreement unless ARS and the contractor expressly agree otherwise in writing.
Ownership
ARS and its licensors retain all right, title, and interest in the connector, its documentation, and related intellectual property. The internal-use license granted by this Agreement transfers no ownership. Intuit retains its rights in QuickBooks and Intuit materials.
Suspension and termination
ARS may suspend or revoke access at any time. Authorization ends when your approved role, need for access, or relationship with ARS ends. You must stop using the connector when authorization ends. Sections that by their nature should continue—including confidentiality, restrictions, ownership, warranty disclaimers, limitations of liability, dispute provisions, and other-agreement provisions—survive termination.
Governing law, venue, and disputes
Except where another applicable signed agreement or non-waivable law requires otherwise, this Agreement is governed by Washington law without regard to conflict-of-law rules. Any action arising solely under this Agreement must be brought in a state or federal court located in Clark County, Washington, and the parties consent to that court’s jurisdiction. Before filing an action, the parties will attempt good-faith internal escalation unless emergency relief is reasonably necessary.
Relationship to other agreements and statutory rights
This Agreement supplements applicable signed employment, contractor, confidentiality, security, acceptable-use, and other agreements. If a signed agreement conflicts with this Agreement, the signed agreement controls to the extent of the conflict unless applicable law requires otherwise. Nothing in this Agreement waives or limits a non-waivable statutory right.
Standard terms
If any provision is held unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign or transfer this Agreement or access rights. ARS may assign this Agreement as part of a merger, reorganization, asset transfer, or transfer of the connector, subject to applicable obligations.
This Agreement, the Privacy Policy for ARVIS Financial Connector, applicable ARS policies, and any controlling signed agreement constitute the applicable terms for authorized use of the connector. A waiver or amendment by ARS must be authorized in writing, except that ARS may update this published Agreement as described below.
Changes
ARS may update this Agreement when the connector, service providers, operating controls, or applicable requirements change. Material changes require an updated effective date, appropriate notice, and renewed affirmative acceptance before continued production use. Administrative or non-material changes may take effect on the stated effective date with appropriate notice.
Privacy
The Privacy Policy for ARVIS Financial Connector explains the connector’s handling of information. No QuickBooks-to-AI processing is authorized.
